1. Agreement to these Terms
These Terms of Service govern your access to and use of Paragonday, including paragonday.systems, the web app, iOS app, widgets, iMessage features, calendar features, location and sunrise/sunset tools, and related services we make available. To keep these Terms readable, we call those products and services the “Service.”
By using the Service, you agree to these Terms and to the Privacy Policy at https://paragonday.systems/privacy-policy. If you do not agree, do not use the Service.
2. Who we are
Paragonday is provided by Teal Process & Company LLC. You can contact us at partner@paragonday.systems.
3. Who may use the Service
- You must be at least 13 years old to use Paragonday.
- If you are under the age of majority where you live, use Paragonday only with permission from a parent or guardian.
- You may use the Service only if you can legally agree to these Terms and are not barred from using the Service under applicable law.
4. Accounts and security
- Some features may require you to sign in or connect another service. You are responsible for the information you provide and for keeping your account credentials secure.
- Tell us promptly if you believe your account, device, or connected service has been compromised.
- You are responsible for activity that occurs through your account, except to the extent caused by our violation of these Terms or applicable law.
5. Connected services
- Some features may let you connect third-party services, such as Google Calendar, Apple platform services, mapping/location providers, authentication providers, or analytics providers.
- When you connect a third-party service, you authorize Paragonday to access and use information from that service only as needed to provide the features you request and as described in the Privacy Policy.
- You can disconnect third-party services through your provider settings or Paragonday settings where available. Third-party services are governed by their own terms and privacy policies, not these Terms.
6. Calendar and location features
If you connect Google Calendar, Paragonday accesses and temporarily processes calendar event data to show and manage your calendar in the app. This may include event titles, times, descriptions, locations, attendees, and meeting links. Paragonday does not currently store Google Calendar events on its own servers.
Paragonday uses location to calculate sunrise, sunset, and sun-relative time. Depending on the surface, this may include your device’s current location, a location you search for, or a location you save. Paragonday uses location only to provide timekeeping and coordination features.
Paragonday does not sell location data or use it for advertising. Paragonday does not use location data to track where you go over time.
Some location calculations may be handled on your device, and some may require sending coordinates or a selected place to Paragonday servers or service providers so the feature can work.
7. Your content and permissions
- You keep ownership of content and information you provide, connect, create, save, display, or share through the Service, including calendar information, saved locations, preferences, Gather details, notes, messages, or other user-provided information where those features exist.
- You give Paragonday a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, display, modify, and use your content only as needed to operate, provide, improve, secure, and support the Service; comply with law; and enforce these Terms.
- You represent that you have the rights and permissions needed to provide or share your content through the Service, and that your content does not violate the law or someone else’s rights.
- If you send us feedback, ideas, suggestions, or comments, you allow us to use them without restriction or compensation to you.
8. Acceptable use
- Do not use Paragonday to break the law, violate someone else’s rights, or harm another person.
- Do not interfere with, overload, disrupt, reverse engineer, scrape, crawl, or attempt to bypass limitations of the Service except where applicable law gives you a non-waivable right to do so.
- Do not try to access accounts, systems, data, keys, tokens, or non-public areas that you are not allowed to access.
- Do not submit malware, harmful code, spam, phishing, deceptive content, or content that infringes intellectual property or privacy rights.
- Do not use the Service to build a competing product by copying non-public features, designs, or materials from Paragonday.
9. Payments
- Paragonday does not currently offer paid plans or process payments.
- If paid plans, subscriptions, paid downloads, or in-app purchases are added later, pricing, billing period, renewal terms, cancellation terms, refund terms, taxes, and payment processor terms will be shown before purchase.
10. Intellectual property
- Teal Process & Company LLC owns Paragonday, including the Service, software, source code, visual design, interface elements, documentation, text, graphics, logos, names, trademarks, and other product materials, except for content owned by users or third parties.
- These Terms do not transfer ownership of Paragonday’s intellectual property to you. You may use the Service only as allowed by these Terms.
- You may not remove, obscure, or alter legal notices, trademarks, or attribution in the Service.
11. App stores and platform terms
- If you download or use Paragonday through Apple, Google, or another app platform, that platform’s terms may also apply.
- The platform provider is not responsible for providing support or maintenance for Paragonday unless required by its own terms or applicable law.
12. Third-party links and resources
The Service may link to or integrate with websites, calendars, maps, app platforms, APIs, or other resources operated by third parties. We are not responsible for third-party content, policies, availability, or practices.
13. Communications
We may send you service, security, legal, and support communications by email, in-product notice, push notification, SMS, or other reasonable means where permitted by law. You may be able to opt out of some non-essential communications, but not transactional or security messages.
14. Beta and experimental features
Some features may be experimental, unfinished, or change over time. We may add, change, limit, pause, or remove features at any time, including features related to sunrise/sunset calculations, calendar integrations, widgets, iMessage, notifications, alarms, sharing, or coordination.
15. Suspension and termination
- You may stop using Paragonday at any time.
- We may suspend or terminate access if we reasonably believe you violated these Terms, created legal or security risk, harmed the Service or other users, or used the Service unlawfully.
- After termination, provisions that by their nature should survive will survive, including intellectual property, warranty disclaimers, limitation of liability, indemnity, dispute, and general provisions.
16. No warranty
- Paragonday is provided “as is” and “as available.” To the fullest extent allowed by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.
- We do not promise that the Service will be uninterrupted, secure, available, error-free, accurate, or that defects will be corrected.
- Time, location, sunrise, sunset, calendar, coordination, notification, alarm, and sharing features are provided for general timekeeping and coordination. Do not rely on Paragonday where mistakes could cause physical harm, property damage, financial loss, legal consequences, missed emergencies, or other serious harm.
17. Limitation of liability
- To the fullest extent allowed by law, Teal Process & Company LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, or substitute services, even if advised that such damages are possible.
- To the fullest extent allowed by law, our total liability for any claim related to the Service or these Terms will be limited to the greater of $100 or the amount you paid to use Paragonday in the 12 months before the claim.
- Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In those cases, liability is limited to the maximum extent permitted by law.
18. Indemnity
To the fullest extent allowed by law, you agree to defend, indemnify, and hold harmless Teal Process & Company LLC and its owners, officers, employees, contractors, agents, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your content, your use or misuse of the Service, your violation of these Terms, or your violation of law or someone else’s rights.
19. Governing law and venue
These Terms are governed by the laws of New York, United States, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes will be handled in the state or federal courts located in New York, and you and Paragonday consent to personal jurisdiction and venue there.
20. Changes to these Terms or the Service
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, such as by posting the updated Terms, updating the date, or providing another notice. The updated Terms apply after they are posted or otherwise made available. If you continue using the Service after an update, you accept the updated Terms.
21. General terms
- These Terms are the entire agreement between you and Paragonday about the Service, except for any additional terms that apply to a specific feature and are presented to you separately.
- If any provision is found unenforceable, the remaining provisions will remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable where possible.
- Our failure to enforce a provision is not a waiver of our right to do so later.
- You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
